01 Agreement Scope & Acceptance
These Terms of Service ("Terms," "MSA," or "Agreement") constitute a legally binding agreement between OzoStack Solutions ("OzoStack," "Company," "we," or "us") and any individual or corporate entity ("Client," "Customer," or "you") accessing our IT development services, engaging our engineering staff, or executing a Statement of Work (SOW).
By executing an SOW, paying an initial invoice deposit, or purchasing our turnkey solutions (such as our $150 Shopify dropshipping package), you confirm your acceptance of these Terms in full.
02 IT Engineering Services & Engagement Models
OzoStack provides custom software engineering and digital transformation services under three primary engagement structures:
- Custom Project Statements of Work (SOW): Fixed-price or time-and-materials engagements for web applications, mobile apps (iOS/Android), enterprise ERP/CRM platforms, and AI agent automation systems built to custom specifications.
- Dedicated Engineering Squads: Augmentation model providing senior software architects, frontend/backend developers, AI engineers, and QA specialists dedicated to the Client's product roadmap.
- Turnkey Shopify Package ($150 Deal): Standardized starter dropshipping store setup delivered within 48-72 hours including theme configuration, domain setup, winning product import, and payment gateway integration.
03 Payment Terms, Milestones & Refunds
Financial commitments and billing terms are structured to ensure transparency and accountability:
- Enterprise SOW Payments: Standard milestone billing (e.g. 40% upfront deposit, 30% mid-project UAT demo handover, 30% final deployment and source code release). Invoices are payable within 14 calendar days of issuance.
- Turnkey Shopify $150 Special Package: Due 100% upfront upon order placement prior to store provisioning. Due to immediate allocation of cloud assets and store builds, turnkey package fees are non-refundable once store setup has commenced.
- Late Payments: Overdue invoices incur a 1.5% monthly service charge. OzoStack reserves the right to pause active development or suspend staging environments if invoices remain unpaid past 30 days.
04 Intellectual Property & Code Ownership
đ 100% Client Code Ownership Transfer
Upon receipt of 100% final invoice payment, OzoStack irrevocably transfers all intellectual property rights, copyright, source code, database schemas, and design assets developed under the SOW directly to the Client.
Pre-existing developer tools, open-source libraries (e.g., React, Next.js, PyTorch), and standard utility scripts remain licensed under their respective open-source or proprietary licenses (e.g., MIT, Apache 2.0).
05 Client Responsibilities & Cooperation
To ensure milestone delivery timelines are met, the Client agrees to:
- Provide timely feedback on design wireframes, sprint demos, and User Acceptance Testing (UAT) releases within 5 business days.
- Supply necessary brand assets, API credentials, third-party licenses, and content required for project completion.
- Designate a primary product owner with authority to approve project scope decisions and milestone completions.
06 Warranties, Maintenance & Cloud SLAs
OzoStack stands behind the quality of our software engineering:
- 30-Day Post-Launch Bug Warranty: We provide a complimentary 30-day warranty following final production launch to fix any reproducible code bugs or discrepancies from the agreed SOW scope.
- Managed Cloud SLA: Applications hosted under OzoStack managed infrastructure include a 99.99% uptime SLA backed by automated multi-region AWS monitoring and daily database backups.
- Warranty Exclusions: Warranty coverage excludes defects caused by unauthorized third-party code modifications, unapproved server configuration changes, or external API failures.
07 Confidentiality & Bilateral NDA
Both parties agree to treat all business plans, software architectures, algorithms, financial data, and technical documentation as strictly confidential for a period of 5 years following contract termination. Neither party shall disclose Confidential Information to third parties without prior written consent.
08 Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law, OzoStack's total aggregate liability arising out of or related to any SOW shall not exceed the total fees paid by Client under that specific SOW in the 6 months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of jurisdiction governing OzoStack's corporate registration, without giving effect to conflict of law principles. Legal inquiries or contract notices may be directed to Ozostack@gmail.com.
